Altria "when issued" referred to the market for Altria stock without the PMI shares that were distributed in the Spin-off.

A:

An individual who purchased Altria stock in the Altria "when issued" market any time before the Distribution Date was not entitled to receive shares of PMI. He or she paid a lower price, and therefore did not purchase the PMI portion.

Altria "regular way"  referred to the market on which Altria shares were traded on the New York Stock Exchange. The Altria "regular way" market included the PMI portion. Therefore, the price of Altria shares in the "regular way" market prior to the Distribution Date reflected the values of both the Altria portion and the PMI portion.
